Born on November 1, 1973, in Mangalore, Karnataka, she grew up in a Tulu Hindu family alongside her older brother, Aditya, and her parents, Krishnaraj and Vrinda Rai. Her family relocated to Mumbai due to her father's work as a marine biologist. She excelled academically, scoring 90 percent on her higher secondary exams, and trained in classical music and dance, including Bharatanatyam, for five years. Although she initially considered studying medicine or architecture, she chose to pursue modelling after receiving commercial opportunities following viral photographs and early advertising work.

Her modelling career gained traction with an international contest appearance and a notable 1993 Pepsi commercial. In 1994, she placed second in the Miss India contest before winning the Miss World title in Sun City, South Africa, along with sub-titles such as Miss Photogenic. As part of her duties as Miss World, she traveled on a global tour in 1995 to promote humanitarian initiatives before transitioning fully into acting.

Rai made her acting debut in 1997 in Mani Ratnam's Tamil political drama Iruvar, followed by her Hindi debut in Aur Pyaar Ho Gaya. She gained her first major commercial success in the 1998 Tamil romantic drama Jeans. Her major breakthrough occurred with Sanjay Leela Bhansali's 1999 romantic film Hum Dil De Chuke Sanam, which earned her a Filmfare Award for Best Actress, followed by another commercial hit, Subhash Ghai's Taal.

Throughout her career, Rai expanded her repertoire with diverse roles. She starred in the Tamil film Kandukondain Kandukondain, the drama Josh, and the social film Hamara Dil Aapke Paas Hai. She achieved further critical praise for her portrayal of Paro in Bhansali's 2002 period drama Devdas, winning her second Filmfare Award for Best Actress. Rai also earned acclaim for her performances in dramatic projects, such as Rituparno Ghosh's Bengali film Chokher Bali, the drama Raincoat, the biographical film Provoked, and Bhansali's Guzaarish.
